Terms of Service

Definitions

In these Terms:

 

Access Request: a request by you to become a consumer of our API and to access our API as part of the Pluto Service.

Affiliate: any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.

Application: the application for which you require API access.

Approved Purpose: the purpose specified in your Access Request, which is approved by us in writing.

API: means Jaimod’s application programming interface, accessible by you in accordance with these Terms.

Attribution: means displaying the Jaimod logo or the statement “powered by Jaimod” on the web page where payment can be made via Jaimod.

Chargeback Costs: the amount of the chargeback and/or all associated fees, fines or penalties resulting from or in connection with such chargeback.

Confidential Information: any information that is not public knowledge and that is obtained from the other party in the course of, or in connection with, the provision and use of the Pluto Service. Our Confidential Information includes Intellectual Property owned by us (or our licensors), including the Pluto Software and Content. Your Confidential Information includes the Data.

  • Content: any information or content from the Pluto Service or made available and accessed via the API.

  • Data: all data, content, and information (including personal data) owned, held, used or created by you or on your behalf that is stored using, or inputted into, the Pluto Service.

  • End User: an end user of your Application, including an end user that accesses or makes use of the API or the Content.


 

Guest: user of our Guest Checkout product which allows Payors to create payments on the Pluto platform without needing to create a Pluto User ID.

Guest Checkout: a payment link sent by a Payee to a Payor to easily collect their payments without a Pluto User ID.

Including and similar words do not imply any limit.

Intellectual Property Rights: includes copyright and all rights existing anywhere in the world conferred under statute, common law or equity relating to inventions (including patents), registered and unregistered trademarks and designs, circuit layouts, data and databases, confidential information, know‑how, and all other rights resulting from intellectual activity. Intellectual Property has a consistent meaning, and includes any enhancement, modification or derivative work of the Intellectual Property.

Jaimod: Jaimod Company Limited, a registered company in Thailand that owns and operates the platform and technology services. 

Locked‑in Exchange Rate: an exchange rate that Pluto will lock for a specified period of time once the payment has been set up.

Lock‑in Period: the period of time relevant to UTC +07 timezone that is processing between business days Monday through to Friday, except on national public holidays. 

Net Settlement Amount: means any amount due and recorded by us as a Payee Transaction, less the sum of any and all refunds, Pluto Fee, Chargeback Costs and Reversals.

Payee: the recipient of a Payment Amount as identified by the Payer.

Payer: the person providing card charge instructions to Pluto, to process the Payment Amount via the Pluto Service.

Permitted User: any of your personnel who have a need to know, or access Content through the API, who are authorised to access and use the API on your behalf in accordance with these Terms.

Payment Amount: the amount nominated by the Payer for payment to the Payee.

Payment Card: a Payer’s payment card (including credit or debit cards) from a payment network listed on the Website (such as Visa, Mastercard, American Express, or others) that the Payer chooses to use in conjunction with the Pluto Service.

Payment Charged Date: the date the Payment Card nominated by the Payer is charged.

Person: includes an individual, a body corporate, an association of persons (whether corporate or not), a trust, a government department, or any other legal entity.

Pre‑Scheduled Payment: a payment amount that has been scheduled in advance for processing on a future Payment Charged Date by the Payer.

Pluto Account: Pluto is the software made by Jaimod, the part of the website you access with your Pluto User ID, and which allows you to view and/or manage your activity on the Pluto Platform.

Pluto: the service provided by Jaimod having the core functionality described on the Website (as the Website is updated from time to time), enabling you to collect payments from your End Users in exchange for goods and services.

Payee Transaction: any transaction initiated by you for processing by us, and which we, through our acquirers, will submit to the Payment Card network (or other payment networks) for clearing and settlement. A payee transaction is complete when we receive from our acquirers, and have control over, the proceeds related to the applicable transaction.

Pluto Fee: the applicable fee charged by Pluto to process payments, as shown on our Website when a payment is created.

Pluto Service: the Pluto Service having the core functionality described on the Website (as the Website is updated from time to time), enabling you to:

  1. make payments to various Payees with your Payment Card or bank transfer; or

  2. collect payments from your End Users in exchange for goods and services; or

  3. access and use our API in accordance with the Approved Purpose set out in your Access Request as approved by us; and

  4. facilitate payments using the Omise Payment Gateway.

Pluto Software: the software owned by us (and our licensors) that is used to provide the Pluto Service.

Pluto User ID: a unique name and/or password allocated to you to allow you to access certain parts of the Website (or if applicable, the API).

Reversals: also known as returns/refunds, are any payment that we may in exceptional cases have to reverse to your End User because the payment: (a) violates our risk management or fraud prevention policies; or (b) has been categorized by our risk models as involving a risky payment required to be reversed; or (c) violates other terms of these Terms; or (d) for legal or regulatory compliance reasons. The term “Reversed” shall be construed accordingly.

Underlying Systems: the Pluto Software, IT solutions, systems and networks (including software and hardware) used to provide the Service, including any third party solutions, systems and networks.

Terms: these terms titled Terms of Service.

We, Us or Our: Jaimod Co., Ltd., a company incorporated under the laws of Thailand.

Website: means the internet site at www.pluto-payment.com, or such other site notified to you by us.

You or Your: you or, if you operate a business account, both you and the other person or entity on whose behalf you are acting.

  • Words in the singular include the plural and vice versa.

  • A reference to a statute includes references to regulations, orders or notices made under or in connection with the statute or regulations, and all amendments, replacements or other changes to them.

1. Purpose of these Terms of Service

If you sign up for a Pluto Account on the Website or use the Pluto Services as a Guest, these Terms form a binding contract between us and you. By accessing and using the Pluto Service:

  • you agree to these Terms; and

  • where your access and use is on behalf of another person or entity (e.g. a business), you represent that you are authorized to agree to these Terms on that person’s behalf and that that person is bound by these Terms.

If you do not agree to these Terms, you are not authorised to access or use the Pluto Service, and must immediately stop doing so.

You must not access or use the Pluto Service (as a Guest or otherwise) unless you are of legal age under Thai law to enter into binding contracts (normally 20 years old, unless modified by law). You must not impersonate any other person, operate under an alias or otherwise misrepresent your identity.

 

2. Changes to Terms & Delegation

  • We may change these Terms at any time by email to your nominated email address, or by posting a notice on the Website. You are responsible for ensuring you are familiar with the latest Terms.

  • If you continue to access or use the Pluto Service after changes take effect, you agree to be bound by the revised Terms.

  • We may delegate our obligations under these Terms to our Affiliates or subcontractors, so long as they comply with applicable Thai law.

 

3. Changes to the Pluto Service

We intend to continually update and improve the functionality of the Pluto Service, which may include adding, modifying or removing functionalities or features without prior notice.

 

4. Your responsibilities for your Pluto User ID, Payment Details, and Cancellation

  • You must keep your Pluto User ID secret; not share with others; notify us immediately of any unauthorised use.

  • You must provide accurate, complete, valid details when scheduling a payment; ensure Payment Card is valid on the charge date; correct bank account, Payee info, etc.

  • If you do not want to make a Pre‑Scheduled Payment, it is your responsibility to cancel it in advance. Once processed, even if a mistake was made, processing stands; we will try reasonable efforts to recover funds if possible, but may charge fees.

 

5. Jaimod’s rights regarding payments

We reserve the right to refuse or cancel any payment, or impose limits on size, frequency, or time‑frame of payments you may make or receive via the Pluto Service, for any reason (including risk, fraud, regulation).

 

6. Prohibited Activities

You must use the Pluto Service lawfully, for purposes authorised under these Terms, and not exploit or resell the Service; must comply with applicable Thai laws (including but not limited to Electronic Transactions Act, Computer Crimes Act, PDPA); not use for money laundering, fraud, or anything illegal; not misrepresent information; etc.

7. Data

7.1 Use of Data

  • You acknowledge we may require access to your Data to perform obligations under these Terms, including process payments, comply with regulatory requirements in Thailand (e.g. anti‑money laundering / KYC), provide customer service, etc.

  • You represent that all Data you provide (including personal data of End Users) is correct, accurate, that you have obtained all required consents under Thai law (in particular PDPA BE 2562) for collection, processing, storage, and transfer of such data.

7.2 Personal Data

  • To the extent Data (including End User data) includes personal data, in collecting, holding, processing such data through the Pluto Service, we act in roles as required under PDPA. You must obtain all necessary consents from data subjects under PDPA.

  • We will implement security measures required under PDPA (for example, notifications of breaches if required, retention, access, deletion, cross‑border transfer rules, etc.).

  • We may store Data in secure servers which may be located within or outside of Thailand, subject to compliance with PDPA, particularly rules on cross‑border transfers.

 

8. Confidentiality

As per standard: both parties will keep Confidential Information confidential; only disclose to personnel as necessary; required by Thai law or regulation or competent authorities; etc.

 

9. Intellectual Property

All rights to Pluto Service, Website, Software, Content, Underlying Systems etc. remain with Jaimod (or our licensors).

  • Your Data remains your property; you grant us licence to use it to provide services.

  • Feedback or suggestions you provide: we own improvements resulting.

 

10. Termination

You may request to close your Pluto Account at any time.

We may suspend or terminate your right to use the Service for breach or for legitimate interest, including fraud risk, violation of laws, etc.

On termination, accrued obligations remain; refunds etc per policy; cancellation of scheduled payments.

 

11. Service availability

We aim for continuous service but there may be downtime for maintenance, force majeure, etc.

We aren’t liable for losses from unavailability beyond what Thai law allows.

 

12. Third‑Party Sites

Our Website may link to external sites; we are not responsible for those; any use is at your own risk.

 

13. Indemnity, Limitations and Disclaimer

13.1 Indemnity: you agree to indemnify Jaimod (and our directors, officers, affiliates etc.) against claims arising from your misuse, fraud, breach of Terms, wrong instructions, etc.

13.2 Limitation on liability

To the maximum extent permitted by applicable Thai law.

Jaimod disclaims warranties to the extent permitted; the Service is provided “as is” etc.

However, under Thai law, some liabilities cannot be excluded (for example, under Consumer Protection Act or other statutes). Those remain.

Any claim you bring must be within the applicable limitation periods under Thai laws.

13.3 Warranties

Both parties warrant they have authority to enter into these Terms.

 

14–18. If you are using the Pluto Service to make payments

You give authorisation to charge the Payment Card.Schedules, Pre‑Scheduled payments. And agree the communicated exchange rates. 

 

19. Fees (Pluto Fee)

Fees are payable and non‑refundable except as required by Thai law.

Fee disclosures: must include VAT if required; any tax obligations.

 

20. Regulatory compliance

Jaimod must comply with all applicable Thai laws, including:

  • Payment Systems Act B.E. 2560 if applicable;

  • Electronic Transactions Act B.E. 2544;

  • Personal Data Protection Act B.E. 2562;

  • Anti‑Money Laundering laws (for example, the Anti‑Money Laundering Act B.E. 2542 as amended);

  • Regulations of the Bank of Thailand (if Jaimod is required to be licensed as an operator).

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand.

Any dispute arising under these Terms shall be resolved by mutual negotiation, or otherwise by competent courts in Thailand.

 

22. Severability, Waiver, Assignment, Notices, Survival

Standard clauses: invalid parts don’t invalidate remainder; waivers in writing; assignment only with our consent; notices via email or as required by Thai law; survival of necessary clauses (e.g. confidentiality, IP, indemnity) beyond termination.
